Changes to these Terms & the Services

We may modify these Terms or the Services at any time (for example, to reflect updates to the site or legal requirements). If changes are material, we will take reasonable steps to notify you (e.g., posting the updated Terms and revising the effective date). If you continue using the Services after changes become effective, you accept the revised Terms.

You may use the Services for lawful, internal, informational purposes. You agree not to:

  • infringe or violate others’ rights (including intellectual property, privacy, or publicity);
  • upload, post, or transmit unlawful, harmful, deceptive, defamatory, obscene, or otherwise objectionable material;
  • probe, scan, or test the vulnerability of any system or network or breach security or authentication measures;
  • interfere with or disrupt the operation of the Services (e.g., by overloading, spamming, or running automated processes that degrade performance);
  • scrape, crawl, or harvest content or personal data without written permission;
  • reverse engineer or attempt to discover the source code or underlying ideas of the Services;

Intellectual property; limited license

The Services (including text, graphics, logos, and other content) are owned by Moraine or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a non‑exclusive, non‑transferable, revocable license to access and use the Services solely for permitted purposes. Any other use (including copying, modification, distribution, or commercial exploitation) is prohibited without our prior written consent.

If you choose to provide feedback, ideas, or suggestions, you grant Moraine a royalty‑free, irrevocable, worldwide license to use such feedback without restriction.

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORAINE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORAINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR SERVICE INTERRUPTION OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, MORAINE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID (IF ANY) TO MORAINE FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Moraine from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the Services.

Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time for any reason, including if we reasonably believe you have violated these Terms. Sections that by their nature should survive termination will survive (e.g., intellectual property, feedback, disclaimers, limitations of liability, indemnification, and governing law).
